The Mission

Enterprise AI is only as reliable as the knowledge it draws from. As organizations deploy AI agents at scale, they face a hard truth: most enterprise knowledge is unstructured, ungoverned and unfit for machines to trust.

As our first (Senior) Legal Counsel, you won't just "handle contracts." You will build the legal framework that allows this evolution to happen - ensuring that our infrastructure is as resilient and legally sound as it is innovative.

About the role

We are looking for a (Senior) Legal Counsel to join Paligo as our first dedicated in-house legal hire. This is a foundational role where you will transition our legal operations from a reactive function to a strategic business enabler.

Operating with high levels of autonomy, you will serve as a trusted partner to the CFO, CEO, Commercial Team, CISO and several other colleagues. Your mission is to provide pragmatic, high-impact counsel across commercial, compliance and corporate matters - ensuring that our legal framework supports our evolution into a critical infrastructure for Enterprise AI.

This role is for a "business-first" legal mind who:

• Moves with velocity: You understand that in SaaS, timing is everything. You thrive in a "Slack-first" culture where a clear, actionable answer today is better than a six-page memo next week.

• Writes with precision: You draft balanced, sophisticated contracts that protect Paligo’s interests while removing friction from the sales cycle.

• Exercises executive judgment: You have the confidence to decide on the spot when a risk is acceptable and the seniority to know exactly when to leverage external counsel.

• Enables trust: You see legal and governance not as a bottleneck, but as the very foundation that makes our structured content and AI solutions trustworthy for global enterprises.

Your primary focus areas:

• Commercial: Own the end-to-end legal process for enterprise customer and partner agreements, including MSAs, DPAs, SLAs, subscription T&Cs and professional services contracts.

• Compliance and AI: Partner with our CISO on GDPR, SOC 2, EU AI Act compliance and the legal review of AI-native product features including subprocessor management and data processing agreements.

• Corporate and employment: Support the CFO, Board and People & Culture team on Swedish employment law, corporate governance, investor matters and PE-related legal events.

Key responsibilities

Commercial and contracts

• Lead and close negotiations of customer and partner agreements, NDAs and professional services contracts with a focus on SaaS-specific risk areas: liability caps, IP ownership, indemnification, audit rights and data portability.

• Build and maintain a contract template library and process that enables sales to move quickly without waiting for a redline on every standard deal.

• Advise on cross-border contract structures covering EU and US buyers.

Compliance, AI and data

• Own GDPR compliance in partnership with the CISO, including data transfer mechanisms (SCCs, adequacy decisions) and subprocessor agreements.

• Lead the legal review process for AI product features, including EU AI Act risk tiering and AI-related DPAs.

• Maintain a regulatory radar covering EU and US developments relevant to SaaS, AI infrastructure and data privacy, with direct output to the leadership team.

Corporate, IP and employment

• Support the CFO and Board on corporate governance, board resolutions and investor reporting in a PE-backed context.

• Own IP protection strategy including software licensing, trademark and open source compliance.

• Advise People & Culture on Swedish employment law.
  

About you

Required

• Law degree with 5 to 8 years of relevant experience, ideally combining law firm grounding with in-house ownership.

• Proven track record in B2B SaaS or enterprise software contracting: MSAs, DPAs, SLAs and subscription T&Cs are your daily bread.

• Cross-border contract experience covering EU and US buyers.

• GDPR fluency including data transfer frameworks and subprocessor management.

• Strong drafting and negotiation skills with the judgment to know when a clause matters and when it does not.

• Fluent in English (working language); professional proficiency in Swedish is preferable for employment and corporate matters.

Bonus

• Hands-on experience with EU AI Act compliance or AI product legal review.

• Exposure to PE-backed corporate governance, secondary transactions.

• IP and open source licensing experience in a software context.

• CIPP/E or CIPP/US certification.

What good looks like at six months

• Establish a streamlined contract process that significantly increases sales velocity while maintaining risk control.

• Template library and process deployed and actively used by the sales team.

• EU AI Act gap assessment completed alongside the CISO.
